# Terms and Conditions of Sale

Effective as of June 1, 2026. VAT not applicable, article 293B of the French CGI.

## 1\. Seller

## 2\. Services

WebConsulting provides website creation (rental model), redesign, SEO, GEO (optimization for generative AI), Google My Business management, maintenance, and community management services for businesses and professionals. Created websites are rented to the client: WebConsulting retains ownership of the code and creations, the client pays a monthly fee covering hosting, maintenance and support.

## 3\. Quotes and orders

Every project is subject to a detailed written quote, valid for 30 days. The order is confirmed upon receipt of a signed purchase order and payment of the setup fees. The quote serves as the contract.

## 4\. Pricing and payment

Prices are in euros excluding tax. VAT not applicable.

-   **Website rental** : monthly rent charged at the beginning of the month. One-time setup fees may apply depending on the plan.
-   **Recurring services** : monthly invoicing at the beginning of the month.
-   **Digital Diagnostic** : full payment before the session.

Payment by bank transfer. Any late payment incurs penalties at the current legal rate, plus a flat-rate recovery fee of €40 (article L.441-10 of the French Commercial Code).

## 5\. Setup times

Setup times are specified in the quote and run from receipt of the setup fees and required materials (content, access, credentials). Any delay by the client in providing materials suspends the timeline.

## 6\. Warranties

-   **Lighthouse Score** : ≥ 95/100 guaranteed on rental sites. Free corrections within 7 days if not achieved at setup, on the production environment.
-   **Operated site** : hosting, maintenance, updates and support included in the monthly rent. The site remains the property of WebConsulting.
-   **Post-launch adjustments** : 30 days of adjustments included from the launch date.

## 7\. Right of withdrawal

In accordance with article L.221-28 of the French Consumer Code, the right of withdrawal does not apply to services fully performed before the end of the withdrawal period, provided performance began with the client's prior consent. For business clients (B2B), the right of withdrawal is excluded.

## 8\. Termination of rental

The website rental may be terminated in writing with 30 calendar days' notice. Upon termination, the site is taken down and returns to the WebConsulting catalog, which reserves the right to rent it to another client, including in the same line of business. The client retrieves their domain name if they financed it. Content (text, images) provided by the client is returned upon request.

## 9\. Intellectual property

The code, design and technical creations produced by WebConsulting remain its exclusive property. The client rents the right to use the site for the duration of the rental. Content (text, images, logo) provided by the client remains their property. WebConsulting reserves the right to mention the project in its portfolio, unless expressly objected to by the client.

## 10\. Liability

WebConsulting cannot be held liable for indirect business losses, service interruptions attributable to the hosting provider, or modifications made by the client to the delivered code without prior agreement.

## 11\. Applicable law and disputes

These T&Cs are governed by French law. Any dispute shall be submitted to the competent courts of Dijon, after an attempt at amicable resolution within 30 days.
